PLEASE READ THIS END USER LICENCE AGREEMENT ("AGREEMENT") CAREFULLY BEFORE USING THE EVENTSYNC APPLICATION. BY DOWNLOADING, INSTALLING, OR USING THE APPLICATION, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT.
1. Definitions
- "Application" means the EventSync software application for iOS devices.
- "Server Software" means the EventSync Server software that runs on macOS and coordinates content delivery to connected devices.
- "Licence" means the right to connect the Application to a licensed Server Software instance.
- "Licensor" means EventSync Ltd, a company registered in England and Wales.
2. Licence Grant
Subject to the terms of this Agreement, the Licensor grants you a non-exclusive, non-transferable, revocable licence to download, install, and use the Application on compatible iOS devices for the purpose of connecting to a validly licensed EventSync Server.
The Application is provided free of charge. A valid Server Software licence is required to use the full functionality of the Application.
3. Server Software Licensing
EventSync uses a per-device licensing model. The Server Software requires valid licences for each connected iPad or Apple TV device. Licences are available in the following terms:
- Free tier: 2 device connections included
- 7-day licence: per device
- 30-day licence: per device
Licences may be configured to auto-renew at the end of the licence period. Licence terms and pricing are available at https://license.eventsync.co.uk.
4. Restrictions
You shall not:
- Modify, reverse engineer, decompile, or disassemble the Application or Server Software
- Rent, lease, lend, sell, or sublicense the Application or Server Software
- Use the Application with unlicensed Server Software
- Attempt to circumvent any licence validation or copy protection mechanisms
- Remove or alter any proprietary notices, labels, or marks on the Application or Server Software
- Use the Application for any unlawful purpose
5. Intellectual Property
The Application and Server Software, including all intellectual property rights therein, are and shall remain the property of EventSync Ltd. This Agreement does not grant you any rights to trademarks, service marks, or trade names of EventSync Ltd.
6. Data Collection
The Application collects certain information as described in our Privacy Policy. By using the Application, you consent to such data collection and processing.
7. Disclaimer of Warranties
THE APPLICATION AND SERVER SOFTWARE ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE LICENSOR DOES NOT WARRANT THAT THE APPLICATION OR SERVER SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EVENTSYNC LTD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OR INABILITY TO USE THE APPLICATION OR SERVER SOFTWARE.
The Licensor's total liability shall not exceed the amount paid by you for the Server Software licence in the twelve months preceding the claim.
9. Termination
This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Application and delete all copies from your devices.
Sections 5, 7, 8, and 10 shall survive termination.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Changes to This Agreement
The Licensor reserves the right to modify this Agreement at any time. Continued use of the Application after any such changes constitutes your acceptance of the new terms.
